A commercial lease can tie a business to a rent, a set of outgoings and a make-good bill for years. Most of the cost is decided by clauses that are easy to skim past: rent reviews, options, outgoings, assignment and what happens when the lease ends.
Optimum Lawyers is a property law firm in Parramatta Square, led by principal solicitor Wisam Assi. We act on property in every Australian state and territory. For wider business matters, see our commercial lawyers.

Send us the lease before you sign it
We offer a free initial contract assessment. It is a brief first look at whether the contract appears ready for a full paid legal review. It is not the full review, and it is not free conveyancing.
What we review in a lease
- Rent and rent reviews. Fixed increases, CPI and market reviews, and whether a ratchet stops rent falling.
- Outgoings. What the tenant pays on top of rent, and how it is estimated and reconciled.
- Term and options. How long you are committed, and how and when an option must be exercised.
- Assignment and subletting. Whether you can sell your business and pass on the lease.
- Make good. What you must do to the premises when you leave.
- Security. Bank guarantees, bonds and personal guarantees.
Retail leases
Retail shop leases are covered by retail leases legislation in each state, which adds protections for tenants. In NSW, for example, the landlord must give the tenant a disclosure statement at least 7 days before the lease is entered into. The rules on minimum terms, rent reviews and outgoings differ by state.
Buying a business with a lease
When you buy a business, the lease usually has to be assigned to you with the landlord's consent. Check the remaining term, the options and the rent before the business sale contract becomes unconditional.
For landlords
We prepare and review leases for landlords, including disclosure statements, options, security and make-good terms, and advise on assignments and defaults.
What clients say
“Pricing was very reasonable and when the final invoice came it matched what was committed to at the start of the engagement.”

Questions about commercial leases
Should I get a lease reviewed before signing?
Yes. Once it is signed, the rent reviews, outgoings and make-good terms are hard to change.
What is a retail lease disclosure statement?
A document the landlord must give the tenant setting out key lease terms and costs. In NSW it must be given at least 7 days before the lease is entered into.
Can I assign my lease when I sell my business?
Usually, with the landlord’s consent, on the terms the lease and the retail leases law allow.
Do you act for landlords?
Yes. We act for landlords and tenants.
