Buying Property in a Trust or Company
Duty, land tax, lending and the documents to get right before you sign
Investors often buy through a family trust, a unit trust or a company for asset protection or tax reasons. The structure affects duty, land tax and lending, and the buyer has to be named correctly on the contract from the start, because fixing it later can mean paying duty twice.
Optimum Lawyers is a property law firm in Parramatta Square, led by principal solicitor Wisam Assi. We act on purchases, sales, settlements and transfers in every Australian state and territory.

Ask us before you sign in a trust name
We offer a free initial contract assessment. It is a brief first look at whether the contract appears ready for a full paid legal review. It is not the full review, and it is not free conveyancing.
Name the right buyer at exchange
The contract should name the trustee as buyer, in its capacity as trustee of the named trust. Signing in your own name and transferring to the trust later is usually treated as two dutiable transactions. Nominating a different buyer after exchange may also be taxed.
Land tax
Trusts are often treated less favourably for land tax. In NSW, for example, many discretionary trusts do not get the land tax threshold, and several states charge surcharges where a trust has foreign beneficiaries. Get the trust deed checked before you buy.
First home concessions
First home buyer grants and concessions are generally only for individuals, so buying through a trust or company usually means giving them up.
Lending and documents
- Lenders will want the trust deed, company documents and personal guarantees.
- The trust deed must allow the trustee to buy and borrow against property.
- For a self-managed super fund, special rules apply. See SMSF property purchases.

The right structure depends on your income, other assets and plans. We handle the legal side and work with your accountant on the tax side.

Questions about buying property in a trust
Can I sign the contract in my name and move it into a trust later?
You can, but it usually means paying duty twice. Name the trustee as buyer at exchange instead.
Do trusts pay more land tax?
Often yes. Many discretionary trusts miss out on the land tax threshold in NSW, and foreign beneficiaries can trigger surcharges.
Can a trust get first home buyer concessions?
Generally no. They are for individuals.
Who signs the contract for a trust?
The trustee, in its capacity as trustee of the trust.
