A commercial property is bought for what it earns or what it lets your business do. That makes the leases, the permitted use, the outgoings and the GST treatment as important as the title, and none of them are covered by the protections a home buyer gets.
Optimum Lawyers is a property law firm in Parramatta Square, led by principal solicitor Wisam Assi. We act on property in every Australian state and territory. For wider business matters, see our commercial lawyers.

Send us the contract or lease before you sign
We offer a free initial contract assessment. It is a brief first look at whether the contract appears ready for a full paid legal review. It is not the full review, and it is not free conveyancing.
Buying or selling commercial property
- Due diligence. Zoning and permitted use, the leases and tenancy schedule, outgoings, fire safety, environmental and contamination issues, and strata records for a strata unit.
- GST. Whether the sale is a taxable supply, a GST-free going concern or under the margin scheme changes the price you really pay. The contract has to say which, and the conditions have to be met.
- Tenanted property. What the leases actually say about rent reviews, options, outgoings and make good, compared with what the agent's summary says.
- Finance and timing. Commercial loans and valuations often take longer than residential ones, so the conditions and dates need to allow for it.
Leases for landlords and tenants
- Retail leases. Retail shop leases are covered by retail leases legislation in each state. In NSW the landlord must give the tenant a disclosure statement at least 7 days before the lease is entered into.
- The terms that cost money. Rent reviews, outgoings, options to renew, make good, assignment and bank guarantees.
- Assignments and sub-leases. When a business is sold, the lease usually has to be assigned with the landlord's consent.
Commercial property in other states
We act on commercial purchases, sales and leases in every state. Retail leasing laws and duty differ by state, so the advice follows the property.

Is GST payable on a commercial property purchase?

What is a going concern?
A sale of a business or leased property as an operating enterprise, which can be GST-free if the conditions in the GST law are met and the contract says so.
Do retail leases have special rules?
Yes. Each state has retail leases legislation covering disclosure, rent reviews and other terms.
Can you act on a commercial property in another state?
Yes. We act on commercial property in every Australian state and territory.
